Terms of Participation in the Auriens ”RESI Hackathon” Competition

1. INTRODUCTION

Auriens Limited (“Auriens”) and its third party events partner BeMyApp SAS (“BeMyApp”) (together, the “Organisers”) are running a hackathon entitled “RESI Hackathon” from 3:00pm on Wednesday 11 September 2019 to 7:30pm on Wednesday 12 September 2019 (the “Competition”). By participating in the Competition, you (“you” or the “Participant”) agree to comply with these terms and conditions (“Terms”). All times stated in these Terms refer to London local time.

The aim of the Competition is to develop next-generation tech solutions that benefit later lifers community, as well as the wider community by using IoT, Machine Learning/Deep Learning, AI, and more.


2. PARTICIPATION PROCESS

The Competition is free to enter and without any purchase obligation. By participating in the Competition, you agree that you: (i) are at least eighteen years old as at the commencement of the Competition; (ii) hold a bank account in the UK; (iii) have IT skills, technical skills, design skills and/or marketing skills relevant to the Competition; (iv) have your own computer hardware in working order for the duration of the Competition; and (v) are not an employee of the Organisers or their affiliates or a family member of the Organisers or their affiliates has and you have not directly or indirectly contributed to the conception, organisation or realisation of the Competition. You must not participate in the Competition if you are in breach of any part of this section 2. You may only register once to participate in the Competition.


Phase 1: Registration process

Date: You may register to be a Participant any time between 01 August 2019 and 11 September 2019.

Object: You can register online on the dedicated website for the Competition accessible at the following address: auriens.bemyapp.com. You must provide the following information: last name, first name, date of birth, address, phone number, email and your profile for the purposes of the Competition, as indicated on the website. This information is required for the completion of your application.

You guarantee that the information entered during your application to register for the Competition is complete and accurate. Any false, incorrect or incomplete information will, at the Organisers’ discretion, result in the application being rejected. The Organisers reserve the right to reject an application at any time if the profile of the Participant does not comply with the Competition standards.


Phase 2.1: “Ideation” Online platform

Date: On Wednesday 4 September 2019

Platform website address: idea-resihackathon.bemyapp.com

Object: On the “Ideation” platform, each Participant will exchange with mentors and other participants their questions and ideas in order to mature their concepts before the Competition.


Phase 2.2: Beginning of the Competition

Date: On Wednesday 11 September 2019 at 3:00pm

Place: Celtic Manor, Newport, Wales

Object: Participants will meet and form teams of two (2) to six (6) participants to focus around a single prototype project of prototype (each a “Team”). One Participant cannot be a part of more than one Team. From Wednesday 11 September 2019 at 5:30pm, Teams will have until 4.30pm on Thursday 12 September 2019 to develop their prototype.


Phase 3: Hackathon

Date: From Wednesday 11 September 2019 at 5:30pm until 4.30pm on Thursday 12 September 2019

Place: Celtic Manor, Newport, Wales

Object: Develop next-generation tech solutions that benefit later lifers community, as well as the wider community


Phase 4: Evaluation and presentation of the prototype

Date: On Thursday 12 September 2019

Place: Celtic Manor, Newport, Wales

Object: From 5:00 pm, each Team will present its prototype to the jury for a duration which will be determined according to the number of developed prototypes and which will not exceed 5 minutes, including a minimum of 3 minutes of demonstration and a minimum of 2 minutes of questions/answers with the jury.


Phase 5: Jury’s selection and Competition results

Date: On Thursday 12 September 2019

Place: Celtic Manor, Newport, Wales

Object: Jury’s deliberation and announcement of winners and prizes


3. WINNER SELECTION PROCESS

The two (2) winning Teams (“Winners”) will be selected by a jury of 4 to 6 members representing Auriens employees and other professionals. The composition of the jury will be communicated to the participants by Wednesday 11th September. The jury will designate the winners on or around 7.30pm on Thursday 12 September 2019.

The Winners will be selected among the Participants who actually:

satisfy the conditions for participation as set forth in these Terms;

participated in the hackathon session; and

were present (by one or more Team member) during the submission of their prototype on Wednesday 12 September 2019.

The jury will select the Winners based on the following criteria:

Innovation (25%)

Pitch (25%)

UI/UX interface (25%)

Quality of Prototype (25%)

Jury decisions are final and cannot be challenged.


4. PRIZE TERMS

The Competition is endowed with two (2) prizes:

1st prize: the sum of one thousand, seven hundred and fifty pounds (divided equally between each member of the winning team).

2nd prize: the sum of seven hundred and fifty pounds (divided equally between each member of the winning team).

The gained prizes are neither exchangeable nor refundable against their cash value. The Organisers reserve the right, if circumstances so require, to replace the prizes by others of equivalent value, without liability being incurred thereby.

At the sole discretion of Auriens, an incubation programme may be offered to the one or more Winner to further develop the prototype(s). If an incubation programme is offered by Auriens, Auriens and the Winner(s) will discuss and agree the terms of a written contract after the Competition has concluded.

Cash prizes will be sent by BeMyApp to the Winner(s) within a maximum of eight (8) weeks following the close of the competition, via bank transfer to the bank details provided by the Winner(s). If the details of any winner are unusable (e.g. illegible, incomplete or erroneous), the Organisers shall make reasonable efforts to contact the winner to obtain the correct details. The Organisers shall not be held liable because of an error of routing of the prize or inability to contact the Winner(s). Should the Winner(s) be uncontactable after reasonable efforts to do so, the Winner(s) will be deemed to forfeit its rights to the prize.

The name and country of the winners can be obtained by sending a request with a stamped, self-addressed envelope to the registered office of BeMyApp.


5. CHANGES TO THE COMPETITION

The Organisers reserve the right to shorten, extend, modify or terminate the Competition, or a part of the Competition, without incurring any liability as a result thereof.

In such case, the Organisers will provide notice thereof to the Participants by any means including e-mail and/or publication on the Website (at its discretion), and, if the need arises, will communicate to the Participants any new rules or terms applicable or the new period of the Competition, as the case may be. Each Participant may notify by e-mail to BeMyApp that s/he refuses the new rules or terms, in which case s/he will be excluded from participating, which s/he hereby expressly accepts. If no refusal is notified to BeMyApp within 72 hours, the new rules or terms will be deemed to be accepted by Participants.

In case of a modification to the rules, cancellation or interruption of the Competition, or a reduction or an extension of its length, the Organisers will have no liability and Participants will not be entitled to any compensation.

The Organisers may cancel all or part of participations in the Competition if it appears that fraud has occurred in any form whatsoever, in particular computer fraud, during the Competition. The Organisers reserve, in this case, the right not to award prizes to fraudsters, to disqualify the concerned prototype project and/or to bring actions against the authors of these frauds. The Organisers shall not incur any responsibility towards the Participants because of the committed frauds.

Furthermore, the Organisers shall not be liable in case of damage, whether material or immaterial, caused during the Competition and thereafter, to the Participants, to their computing equipment and to the data and to the consequences which can ensue from it on their personal, professional or commercial activity.


6. INTELLECTUAL PROPERTY

You will not infringe or misappropriate any third party’s intellectual property and/or other rights (including without limitation those belonging to other participants in the Competition) through and/or as a result of your participation in the Competition. You will indemnify the Organisers against all losses, liabilities, costs and expenses (including without limitation any reasonable legal costs) arising out of or in connection with any claim that you have infringed or misappropriated any third party’s intellectual property and/or other rights though and/or as a result of your participation in the Competition.

To the extent that any third party materials included in the prototype, including open source software, such third party materials must be clearly identified with the version, the terms of the applicable licence and any other details regarding their use. The Participant understands that this information is taken into account in the assessment for the allocation of a prize.

By joining the Competition, Participants expressly authorise the Organisers, for free, to publish, communicate, exhibit and disclose orally, graphically or in writing, projects and prototypes presented during the Competition.

The Participants may be filmed or photographed during the event. By joining the Competition, the Participants agree to the use and the distribution of their image by the Organisers, including for promotional events occurring after the Competition. The production and distribution of films and photographs of the event will not lead to any compensation of the Participants.

You will not use any of the Organisers’ trade marks (including the trade mark “Auriens”), logos, and/or brand names, nor make, or permit any person to issue a press release or make any public announcement or other public communication (including without limitation on social media) whether before, during, or after the Competition, concerning the Competition or your participation in it, in each case without our prior written consent.


7. DATA PROTECTION

The collection and processing of personal data relating to the Participant by the Organisers is primarily intended to ensure that the Competition will be properly completed and in particular to allow the Organisers to contact the winner and to award them the prizes in an efficient way and, if the cases arises, to publish the list of the winners.

Personal Data submitted by Participants in the Competition will be treated in accordance with the Privacy Policy, updated from time to time, available at http://privacy.bemyapp.com/ and applicable data protection laws.


8. GENERAL

Participation in the Competition is strictly personal and the Participant cannot, under any circumstances, be replaced, assigned or transferred to any other individual. Any claim relating to the Competition will be barred after the period of three (3) months from the deadline for participation stipulated in section 1.

Nothing in these Terms limits or excludes any party’s liability for death or personal injury caused by its negligence, for its fraud or fraudulent misrepresentation or for any other liability which cannot be excluded by law.

The Organisers will not be liable in contract, tort or otherwise for any: indirect or consequential loss; loss of profits; loss of revenue; loss of anticipated savings; loss of business or business opportunity; loss of goodwill; or loss of or corruption to data. The Organisers’ total liability in contract, tort or otherwise for any claims is limited to £10.

The Organisers will take into account up to £100 for non-local residents travel expenses.. The accommodation of Participants will be provided only for the nights of September 12 and September 13 2018 to any Participant who needs it. Drinks and meals will be supplied by the Organizer during the entire duration of the competition.

Furthermore, the Organisers shall not be liable in case of damage, whether material or immaterial, caused during the Competition and thereafter, to the Participants, to their computing equipment and to the data and to the consequences which can ensue from it on their personal, professional or commercial activity.

If any part of these Terms is deemed not to be enforceable, the other parts will remain in full force and effect.

These Terms represent the entire agreement between the parties relating to the Competition and shall supersede and cancel all prior oral and written understandings regarding the subject matter.

The Winner(s) are responsible for all applicable taxes and expenses not specified in description of the prizes above.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by English law and the English courts will have exclusive jurisdiction.
